Terms & Conditions

The agreement that governs your use of Heywave.

These Terms & Conditions (“Terms”) govern your access to and use of Heywave (the “Service”), operated by Sandeep Kumar Patel (“we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Heywave is a software-as-a-service platform that lets you connect WhatsApp accounts, send and receive messages and media, configure AI-powered auto-replies, run messaging campaigns, and integrate over a REST API. The Service is provided on a subscription basis, typically following a free trial.

2. Eligibility & accounts

  • You must be at least 18 years old and capable of forming a binding contract.
  • You are responsible for the accuracy of your registration details and for keeping your credentials and API tokens confidential.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately of any unauthorised use of your account.

3. Subscriptions, billing & renewals

  • Plan prices and inclusions are listed on our Pricing page, in Indian Rupees (INR).
  • After your trial, continued use requires an active paid subscription. Payments are collected through our payment gateway, Razorpay.
  • On successful payment, your plan is activated and access is provisioned immediately for the chosen plan period.
  • Subscriptions do not auto-renew silently beyond the period you pay for; you renew by completing a new payment.
  • Cancellations and refunds are governed by our Cancellation & Refund Policy.

4. Acceptable use

You agree that you will not use the Service to:

  • Send spam, bulk unsolicited messages, or message recipients who have not consented to be contacted by you.
  • Transmit unlawful, fraudulent, deceptive, abusive, defamatory, obscene, or infringing content.
  • Violate WhatsApp’s terms, policies, or messaging limits, or any applicable telecom, data-protection, or anti-spam laws.
  • Distribute malware, attempt to gain unauthorised access, or disrupt or overload the Service or its infrastructure.
  • Resell or misrepresent the Service, or use it to harass or harm others.

You are solely responsible for the recipients you contact and for obtaining any necessary consent. We may suspend or terminate accounts that we reasonably believe violate this section, with or without notice.

5. AI features

AI auto-reply features require you to supply your own third-party AI provider API key. AI-generated content is produced automatically and may be inaccurate or unsuitable; it is provided “as is” and you are responsible for reviewing and approving how it is used. Your use of an AI provider is also governed by that provider’s terms.

6. Third-party services

The Service interoperates with third parties including WhatsApp, Razorpay, and AI providers. We are not affiliated with or endorsed by WhatsApp. We do not control these third parties and are not responsible for their availability, actions, or policies. WhatsApp may, at its sole discretion, restrict, rate-limit, or ban any number that it determines violates its policies.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Sandeep Kumar Patel and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your business in accordance with these Terms. You retain ownership of the content and data you provide.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. We do not warrant that messages will always be delivered, that WhatsApp sessions will remain connected, or that connected numbers will not be restricted by WhatsApp.

9. Limitation of liability

To the maximum extent permitted by law, Sandeep Kumar Patel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service. Our total aggregate liability for any claim shall not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Sandeep Kumar Patel from any claims, damages, liabilities, and expenses arising from your use of the Service, your content, or your breach of these Terms or of any applicable law.

11. Suspension & termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a manner that risks harm to others or to the Service. You may stop using the Service at any time. On termination, your right to use the Service ceases; certain provisions (such as liability and indemnity) survive.

12. Changes

We may modify the Service or these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Continued use after changes take effect constitutes acceptance.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at Jaunpur, Uttar Pradesh, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
